BORYS RAFALOWICZ, CEO/President/Chairman of Board, Shareholder: Original Founder of Seamless and accomplished entrepreneur born in Poland. He worked in the Swedish Real Estate Market where he bought and sold numerous properties profitably and, founded the Swedish Exchange Analyst AB, which originated computer programs and evaluations of businesses, real estate, and publicly traded companies. Mr. Rafalowicz was a consultant to Skandia Direct Insurance Operations, a holding company for Skandia’s primary insurance operations in the US with twenty six subsidiaries, and an approximate total annual premium volume of U$300 million.

NICK NISHIWAKI, Board Member: is a veteran of 35 plus years in business and entrepreneurship. His expertise includes business management, marketing, manufacturing, packaging, transportation, and distribution. Mr. Nishiwaki started his career in Japan in the export business, supplying various giftware, tabletop and kitchen items to the worldwide market. In 1978, he founded Sakura, Inc., a New York City-based import and wholesale business specializing in creative and attractive imported gift designs for the U.S. market. His customers included wholesale sales to retailers, major department stores, mass merchandisers, warehouse clubs, and mail order companies. His management emphasis was on lean organization, with effective operational controls. He has since sold his interest in Sakura to a New York Stock Exchange listed company and now, in addition to his work with Seamless, pursues a number of independent financial and investment interests. He is an equity investor in Seamless Technology Inc.

BRIAN POPKEN, Board Member, President of Pinneast: joined Seamless’ subsidiary Pinneast in 1997 and was selected by the Board of Directors as President in 2003. Mr. Popken holds a Bachelors of Science degree in Business Administration from the University of Nebraska, and Advanced Studies in Public Administration from Shippensburg State and Ball State Universities. He was a career Army officer prior to joining Pinneast and headed the Army's redesign effort for personnel operations in an advanced digital environment. In that position he identified and documented knowledge requirements and led the design of management information systems. Since joining Pinneast he has focused on designing and developing technology solutions for management processes unique to the e-Learning industry, and on applying advanced digital concepts to custom e-Learning solutions. He is the architect for numerous of Pinneast’s learning products and leads all facets of the company’s operations and was appointed as a Seamless Board member and equity partner in 2005.

NICK SCOTT, Board Member, Founder of Lynx Telecommunications Corp. Initially ran an international focus and traveled extensively throughout Central America negotiating re-file and re-origination agreements with the incumbent Telco’s, mobile providers and ISP’s. He was recruited by a Telecom company to launch a marketing and sales campaign for their BellSouth agency division. The company became the top agent for BellSouth in its first year of business. Launched a new business division for the company within the Callback industry selling US telephone rates and access to businesses in Central and South America. In July 1997 became President/CEO of the company and focused the business exclusively on the development of the BellSouth ASR program. In 1999, LynxTel became the largest producing ASR in the program and have remained in the highest producing partner group since

RAFAEL CASAS, Board Member: is President of DCS-I Group, a wealth management and investment counseling organization established to meet the unique financial service needs of both U.S., and non U.S., institutions, families and individuals. Mr. Casas has been Vice-President, Senior Vice-President and Director of several U.S. commercial banks that include Eastern National Bank and Pinebank in Miami. He was also the Director in charge of client relations for an international investment advisor with assets under management in excess of U.S. $ 350 million. Mr. Casas holds a degree in business administration from the Universidad Catolica Andres Bello in Caracas, Venezuela.

GERALD GOLD – Vice President, Chief Relationship Officer: Professor Gold, Wall Street economist, is often called the grandfather of hedging and is author of, “Modern Commodity Futures Trading,” (1972), “Modern Futures and Options Trading” (1989), and three others books. He has traveled extensively lecturing corporate executives in Europe, the Middle East and Asia on offsetting business risks.. He was instrumental in creation of United Russian Technologies, Florida and providing a customer pipeline for the potential technology products and services.

DAVID C. LANGLE – Chief Financial Officer: is an accomplished financial and managerial professional
with over twenty-five years of experience in public accounting, consultant
to various companies and in top management positions and directorships with
major companies, primarily in public organizations. He has completed
multiple successful public and private capital offerings and. gained
significant experience with mergers, acquisitions, divestitures and debt
restructures in the US and international.

TODD BRITTON – CTO, Pinneast and Merchadizer: Products Lead Programmer and LMS Integration Specialist.
Todd is Pinneast's lead software designer and web applications developer and
the Technology Director for Pinneast's Merchandizer installation. A
Bachelors of Computer Science graduate of the University of Charleston, Todd
has been developing technology/Internet/e-Learning-based solutions for both
government and commercial sectors for Pinneast since 2002. He is also the
manager of the SumTotal Content Integration Laboratory with additional
responsibilities as a learning system and content integration specialist.
Using his unique and extensive knowledge of the SCORM e-Learning standard as
well as specialized skills in applying xml and java script programming to
e-Learning products Todd has integrated over 200 courses into multiple
Learning Management Systems. His detailed knowledge of Learning System
design and includes products from Saba, Centra, SumTotal and Elluminate, as
well as courseware for SkillSoft, Netg, Harvard Publishing and others. Todd
is additionally Pinneast's lead for technical portions of the Quality
Assurance process where he supervises the use of a wide variety of tools
from the Advanced Distributed Learning Initiative's SCORM 1.2 test Suite and
other technical bench tests to ensure courseware compatibility with
technical standards and requirements.
